Terms of Service

1. Agreement to Terms
By accessing or using the FirstOps platform and website (collectively, the "Service") operated by FirstOps, Inc. ("FirstOps," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
FirstOps provides a governance platform for AI agent connections. The Service includes agent discovery, connection monitoring, policy enforcement, audit logging, and related tools delivered via web application, CLI, and APIs.
3. Accounts
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
- You must notify us immediately at security@firstops.dev if you suspect unauthorized access to your account.
4. Acceptable Use
You agree not to:
- Use the Service to violate any applicable law or regulation.
- Attempt to gain unauthorized access to any part of the Service or its underlying infrastructure.
- Reverse engineer, decompile, or disassemble any part of the Service, except as permitted by applicable law.
- Use the Service to transmit malicious code or interfere with other users' access.
- Resell or redistribute the Service without our written consent.
- Use the Service to monitor or govern agent connections belonging to third parties without their authorization.
5. Your Data
You retain ownership of all data you submit to the Service ("Customer Data"). You grant FirstOps a limited license to process Customer Data solely to provide and improve the Service. We will not access Customer Data except as necessary to operate the Service, provide support, or comply with law.
Our processing of personal data is governed by our Privacy Policy.
6. Intellectual Property
The Service, including its source code, design, documentation, and trademarks, is owned by FirstOps and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding. Open-source components included in the Service are governed by their respective licenses.
7. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We will provide reasonable notice of planned downtime when possible.
8. Fees and Payment
Certain features of the Service may require a paid subscription. Fees, billing cycles, and payment terms will be specified at the time of purchase. All fees are non-refundable except as required by law or as otherwise stated in a separate agreement.
9. Termination
Either party may terminate these Terms at any time. You may stop using the Service and delete your account. We may suspend or terminate your access if you violate these Terms, with notice where practicable. Upon termination, we will make your Customer Data available for export for 30 days, after which it may be deleted.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FIRSTOPS DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIRSTOPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless FirstOps and its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and, if you have an account, by email. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
